SUBJECT: CONSIDERATION OF APPROVAL OF THIRD AMENDMENT TO PROFESSIONAL
SERVICES AGREEMENT WITH TRANSTECH FOR BUILDING AND SAFETY SERVICES
RECOMMENDATION:
It is recommended that the City Council approve the Third Amendment to the Professional Services
Agreement with Transtech Engineers, Inc. for Building and Safety services and authorize the City
Manager to execute the amendment.
BACKGROUND:
On December 1, 2020, the City Council approved a Professional Services Agreement (Agreement) with
Transtech Engineers, Inc. (Transtech) for Building and Safety services. The Agreement was for a term
of one (1) year with a one (1) year extension option and a maximum annual compensation of $900,000
paid in accordance with the fee schedule attached to the Agreement.
On July 29, 2021, the City and Transtech entered into the First Amendment to the Agreement, which
amended the scope of services to include landscape plan check services and increased the maximum
annual compensation to $940,000.
On December 16, 2021, the City and Transtech entered into the Second Amendment to the Agreement,
extending the term of the Agreement through December 31, 2022.
DISCUSSION:
Transtech has served as the City of West Covina's Building and Safety division since January 1, 2021.
Since that date, the division has experienced an influx in the number of building plan -checks,
inspections, and permit issuances. The City has increased the number of permits processed over the
past few years. In Fiscal Year 2020-21 3,701 building permits were processed; for this current Fiscal
Year 2021-22 the City anticipates processing over 3,900 of building permits. With the continued success
that the City has experienced in processing permits, the monthly charges for Transtech's services have
also increased. In doing so, Transtech's compensation limit of $940,000 will not be sufficient to cover
their services.
As Transtech is paid according to a fee schedule that is based on the total revenue received by the
permit fees, the City's demand for building permits has reached Transtech's compensation limit. As
expenditures are offset by revenue, the proposed contract would remove the compensation limit so it will
not impede the City's ability to have Transtech continue to process building permits. With the removal of
the limitation, Transtech will be paid according to the revenue received by the Building and Safety
division. As more permits are issued or plan checked, the more fees that will be received. All increase of
costs will be covered with the increase of revenue.

Fiscal Impact
FISCAL IMPACT:
The budget for Building and Safety Contractual Services was increased with the 3rd Quarter Financial
Report and is currently $1,440,000 (account no. 110.71.4120.6120). The minimum monthly rate for
Transtech is $50,000 ($600,000 annually). With the removal of the compensation limit, Transtech will be
paid according to a fee schedule and paid at an adjustable rate. All costs are paid from building permit
and plan check revenues.

THIS THIRD AMENDMENT ("Amendment") is made and entered into as of June 7, 2022
("Effective Date") by and between the CITY OF WEST COVINA, a municipal corporation ("City"),
and TRANSTECH ENGINEERS, INC., a California corporation ("Consultant").
WHEREAS, City and Consultant entered into a Professional Services Agreement on
December 1, 2020 for Consultant to provide Building and Safety services (the "Original
Agreement"); and
WHEREAS, on July 29, 2021, City and Consultant amended the Scope of Services of the
Original Agreement to include landscape plan check services and increased Consultant's
maximum annual compensation to $940,000; and
WHEREAS, Section 4.1 of the Original Agreement provides for an initial term of one (1)
year, ending December 31, 2021, with the option for City and Consultant to extend the term for
one (1) additional one (1) year period; and
WHEREAS, on December 16, 2021, City and Consultant extended the term through
December 31, 2022; and
WHEREAS, City and Consultant now desire to amend Section 2.1 of the Original
Agreement as set forth herein.
NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree as follows:
Section 2.1 of the Original Agreement shall be amended to read as follows:
2.1. Compensation. Consultant shall be paid in accordance with the fee
schedule set forth in Exhibit A (the "Fee Schedule").

WHEREAS, City and Consultant entered into a Professional Services Agreement on

authorize additional services, provided that the increase in compensation for such additional

reference, relating to landscape plan check services; and
WHEREAS, City desires to increase Consultant's annual compensation accordingly to
Nine Hundred Forty Thousand Dollars ($940,000.00).

hereby acknowledged, the parties agree as follows:
The Scope of Services shall be amended to include the additional services set
forth in Exhibit A relating to landscape plan check services. Consultant shall be
paid for the additional services in accordance with the fee schedule set forth in
Exhibit A.
2. Section 2.1 of the Original Agreement shall be amended to reflect that Consultant's
annual compensation shall not exceed Nine Hundred Forty Thousand Dollars
($940,000.00).
3. All terms not defined herein shall have the same meaning and use as set forth in
the Original Agreement.
4. All other terms, conditions, and provisions of the Original Agreement not in conflict
with this Amendment shall remain in full force and effect.

our subcontractor Whithers & Sandgren.
Transtech will be pleased to provide such services as a pass -through invoice with 10%
surcharge.
Withers & Sandgren, Ltd. (WS) is a professional consulting firm offering services in
Landscape Architecture, Urban Design and Environmental Master Planning since 1994. Their
team would like the opportunity to provide our expertise and assist the City in its endeavor to
ensure completeness and compliance with appropriate landscape and irrigation standards and
Zoning Code compliance with regards to landscape.
They currently perform plan check services for the City of La Verne, Bell Gardens and
Alhambra. As City landscape architect for La Verne and Bell Gardens, they sometimes attend
Design Review Committee, Planning Commission and City Council meetings. They have
worked closely with the planning staff on design consultation for signage, streetscape
improvements, and performed inspection services, and authored tree preservation ordinances in
several cities including La Verne. As firm principal, Lacey Withers, Principal, ASLA from
Withers& Sandgren would be the point person to the City and she would oversee all plan
reviews. The Withers & Sandgren team for this contract would consist of Lacey Whithers and
Senior Licensed Landscape Architect #4844, Patty Nalle who has been with their firm for 18
years.

1. EXPLANATION OF PROPOSED WORK + P L A N N I N G
Withers & Sandgren (WS) has been involved in providing varying levels of support to Community
Development Departments for over twenty years. Throughout our time as City Landscape
Architectural Consultants we have provided counter support for walk in plan reviews, been monthly
Design Review Committee attendees, as well as presenters with planning staff to Planning
Commissions and City Councils. We enjoy serving as an extension of City Staff and take fulfillment in
knowing that we are improving the overall design quality and aesthetic in the Cities that we serve.
Lacey Withers, firm principal and Landscape Architect, license #3820 will be the first review on all
landscape plans that have been submitted. Our Plan Check Review Services typical process is
described below:
1. Receive first submittal of plans either electronically or by mail service. We may conduct a
preliminary site visit if we are requested to pick up plans from City Hall to expedite the
process. If we receive the plans electronically we can either check google earth street view and
or perform a site visit as needed depending on the complexity of the project.
2. Discuss project objectives and goals with City Staff and/or applicant. Based on preliminary
project discussion, we will request additional documents as needed for thorough review such
as grading or topographic plans. Withers & Sandgren will review plans electronically or hard
copy and prepare preliminary review letter and markup the submittal as needed for
clarification. Withers & Sandgren will keep one set and email a red line copy or mail two red
lined marked up sets and comment letter back to the City if hard copies are preferred. The City
will usually keep one marked up set and return one marked up set back to the applicant. We
encourage the project landscape architect to contact us after reviewing our comments if
he/she has any questions or needs further clarification. We have found that direct
communication with the project landscape architect at this this stage often avoids the need
for a third submittal and review. This work will be completed within 10 business days of the
City's work order date. With the recent circumstances surrounding COVID-19 we have been
conducting all plan checks electronically and have found this paperless transition to be
successful and seamless within our office.
3. WS will receive second submittal of plans either electronically or three hard copy sets and
will then review the second submittal and check against the red line set from the first
submittal. If further clarification is needed we will often call the project landscape architect to
ask questions to avoid extending out the review process any further. The goal is to have the
plans approved or very close to approval if a third plan submittal is required due to the
simplicity of the last requirement if any. This work will be completed within 10 business days
of receiving plans for both landscape and irrigation plans. This ten day turnaround time can be
expedited if requested.
4. We will send approved plans electronically or two hard copy sets of approved plans will
then be mailed back to the City. We prefer to keep one set of approved plans in our office if we
are dealing with hard copies and are expected to go out to perform the final project approval
in the field.
5. WS will perform the final inspection to ensure the project was built according to the
approved plans. A punch list will be prepared within 24 hours of inspection if there are
outstanding items to be completed. A final check will be conducted once the punch list is
completed. If the outstanding items are minimal we sometimes approve the items through
proof of completion by a photograph.
All plans will be reviewed and recommendations will be made as needed for consistency with the
project's approved Conceptual Landscape Plan, approved architectural site plans, Public Works
grading plans, Zoning codes for landscape, Conditions of Approval, and the City's Municipal Code and
Landscape Design Guidelines if any. All landscape and irrigation plan reviews will also ensure
compliance with the City's Green Building Ordinance and the City's or State MWELO requirements.
The Withers & Sandgren team has extensive experience with this type of review as we specifically
review plans for all of our current city consulting contracts for compliance with the State's Water
Conservation Ordinance (MWELO).
Within one business day after receiving the receipt of City -transmitted written certification by the
project landscape architect that the landscape improvements have been installed per the
Construction Working Drawings, Lacey Withers or Senior Landscape Architect Patty Nalle will inspect
the installation of all aspects of the Construction Working Drawings. WS will then confer with the
project's landscape architect, City Case Planner and other public agency staff as needed.
Inspections, field reports and photo documentation throughout the work process are a standard part
of the services that we provide in the Withers & Sandgren office. Our current hillside development
work in La Verne requires that we work closely with consulting arborists to monitor oak trees and
adjacent streams, combining and coordinating our efforts to reduce costs to the City and the project.
It has been our experience that few projects are built exactly according to plan as there are many
unforeseen conditions that occur during construction. We are comfortable with seeing projects
through to final approval and always provide flexibility and problem solving during the construction
process with the goal of upholding the overall high design quality and aesthetic that was approved
during the planning process.
Withers & Sandgren finds it best practice to write up recommended corrections the same day that a
field inspection is conducted as the information is fresh and since the City is usually in need of an
immediate sign off. Typically, Withers & Sandgren will provide written recommended corrections as
needed in order for the installation to be consistent with the approved Construction Drawings on the
same day as the field inspection and at most within 24 hours of the inspection.
For each project, WS will submit a separate, original invoice to the City that will include all of the
necessary information as required by the City.

Withers & Sandgren has previously billed hourly in the past for plan check services. Based on the
complexity of the project and the quality of the plans prepared we have found the above hours to be
a reasonable approximation of the labor hours needed.

RELEVANT PROJECT EXPERIENCE
Whittier Narrows Equestrian Center Refurbishment - 2018 - County of Los Angeles
As project manager for this 40-acre site renovation, Lacey was responsible for the planning and design of
future enhancements to create a state of the art equestrian facility for the County of Los Angeles. The
project includes oversight of hydrology studies, environmental mitigation and restoration of the adjacent
San Gabriel River, CEQA documentation, infrastructure assessment and improvements, regulatory
permitting compliance and requirements and jurisdictional constraints from overseeing agencies
including the Army Corp of Engineers, Fish and Game and Fish and Wildlife. Lacey conducted three
community outreach meetings and presented various design concepts to solicit input from neighbors,
boarders, and stakeholders. The final design concept houses 180 horses and Includes 5 arenas, a horse
rental area, detention ponds for stormwater catchment, cleaning and release, permeable paving, and
drought and native vegetation. Construction documents are going out to bid with expected completion
of construction in Spring 2021.
Puente Hills Landfill Park Master Plan, EIR and Outreach - 2017 - County of Los Angeles
Lacey was a joint project manager, selected by the Los Angeles County Parks and Recreation to
provide a master vision for a 142-acre regional park atop the former second largest landfill in the
nation. Located at the western tip of the Puente/Chino Hills, the scenic views of the San Gabriel
Mountains and valley below are glorious. Ongoing landfill environmental systems are a challenge for
park phasing and implementation. A sustainable design approach included multi -modal
transportation considerations, bike skills, zip line, waste recycle education and a state -of -the art Green
Building Visitor Center.
River Wilderness Park - 2019 - Watershed Conservation Authority
This future passive park is located adjacent to the stunningly beautiful natural river banks of the San
Gabriel River in upper Azusa. The new status of the San Gabriel Mountains as Monument elevates the
significance of this special park as the gateway for the Forest Service and the Watershed Conservation
Authority. A community outreach process for the park included a series of mailers, three workshops, site
visits, focus group meetings and the formation of a technical advisory committee. The elegantly rustic
park will feature log structures, day camping, a bicycle path, picnic facilities and a nature playground
and is currently in the construction documents phase.
Pleasant Valley Park and Recreation District, Arneill Ranch Park - 2019
Withers & Sandgren was selected as the landscape architect to conduct a 5 series workshop outreach
effort to come up with the redesign and renovation of Arneill Ranch Park in Camarillo, CA. Working
closely with the community and concerned neighbors, Withers & Sandgren transformed this five -acre,
well-worn park into a future community treasure. As principal landscape architect and project manager
Lacey was responsible for the concept development and acted as the face to the community and to the
Pleasant Valley Park and Recreation District Board. Withers & Sandgren also offered support to the
Pleasant Valley Park and Recreation District in writing the Prop 68 grant application.
Rancho Vista Park - Ongoing - City of Palmdale
A new 4-acre park will serve the neighborhood of Palmdale as well as the adjacent elementary school
with picnic areas, looping walking paths, an interactive dry streambed, decorative seat walls, a children's
play area, and open grass areas for passive recreation. Serving as project manager, Lacey oversaw the
concept development of the park and is now overseeing the construction document phase of the
project.
Jacaranda Park- 2017 - Los Angeles Neighborhood Land Trust
Withers & Sandgren was selected by the Los Angeles Neighborhood Land Trust (LANLT) to work with
the Watts community to finalize the design and construct the 5-acre linear park under Los Angeles
Department of Water and Power (LADWP) high voltage transmission lines. Extensive community
outreach including five park design workshops included park visioning, a group design charrette,
alternative park design selection and park element selection. LADWP's "California Friendly" plant
selection criteria, the park is a gorgeous mix of trees, plants, decorative fencing, playgrounds, fitness
equipment stations and other active and passive recreational uses.
Descanso Gardens Oak Woodland - 2014 - Descanso Gardens
Lacey was principal landscape architect and project manager responsible for the concept development,
planning, design and construction documents for the new Oak Woodland at Descanso Gardens. The 5-
acre site was sitting in wait, neglected and closed to the public for many years. The project included
native plant communities, restoring meadows and chaparral, temporary above ground irrigation to aid
in plant establishment, new maintenance road alignment, as well as overlooks and informal gathering
spaces.
Rio de Los Angeles State Park - City of Los Angeles - 2006
This high profile, 40 acre park site is owned by the State, and leased by the City of Los Angeles. Design,
development, and construction efforts had to coordinate seamlessly between two agencies. Withers &
Sandgren served as project managers to a team of consultants who applied LEED criteria to storm water
management, parking lot, and building design. Half of the park site provides a variety of recreation
fields and courts while the other half of the park is passive play. Schematic design through permitted
construction documents was accomplished in one year with State and City guidance and inter -agency
coordination.
Landscaping & Plant Palette Standards, Los Angeles River - 2005 - Los Angeles County
Lacey managed the team and wrote the first supporting document to the Los Angeles River Master Plan
produced by the Los Angeles County Department of Public Works. These Landscape Standards provided
a solid framework for future recreational development and habitat restoration along the entire 51-mile

Whittier Narrows Equestrian Center and Horseman's Park Renovation - On -going - County of Los
Angeles
Coordinating with a team of engineers, hydrologist, and biologist, Patty produced the plans and graphics
for a series of three workshops which served to focus the needs of the local equestrian community. The
final design concept provides for housing of 200 horses, 7 arenas, a horse rental, bioswales and detention
ponds for stormwater catchment, cleaning and release, solar lighting, permeable paving, and native
vegetation. Patty then oversaw the completion of construction documents and modified the design to
respond to changing budget restraints.
Jacaranda Neighborhood Park- 2017 - Los Angeles Neighborhood Land Trust
Five community workshops were conducted and the neighborhood preferences were distilled into a five -
acre neighborhood park utilizing the Department of Water and Power utility corridor. Patty has overseen
the development of construction drawings, refining the details and modifying the elements to meet DWP
safety concerns and new water conservation standards while still maintaining the neighborhood vision of
a safe, green oasis.
River Wilderness Park- On -going - Watershed Conservation Authority
As the landscape architect for the project Patty is developing children's play elements constructed from
natural materials and integrating them into an exploratory landscape that will provide an introduction to
the Angeles National Forest environment.
Taylor Yard and San Fernando Road Widening / Rio de Los Angeles Park- 2007 - City of Los Angeles
Bureau of Engineering & CA State Parks
This high profile, 40-acre park site is owned by the State, and leased by the City of Los Angeles. Design,
development, and construction efforts had to coordinate seamlessly between two agencies. Patty was the
project landscape architect working with a team of consultants who applied LEED criteria to stormwater
management, parking lot, and building design. Half of the park site provides a variety of recreation fields
and courts while the other half of the park is dedicated to passive play. Schematic design through
permitted construction documents was accomplished in one year.
Coldwater Canyon Reservoir Park, City of Beverly Hills - 2010
A new park over the lid of the Coldwater Reservoir serves the community along Coldwater Canyon as a
passive open space with running/jogging track, colorful plantings, a fountain, and custom amenities. Patty
was the designer for the project that required community, commission, and council design approval.
City of Malibu Cross Creek Road Redesign - 2008
Patty was the project designer for the design development phase of the project, and then produced the
construction document plans and specifications. Redevelopment of the streetscape sought to keep the
casual eclectic feel of the beachside community while providing improved pedestrian safety and traffic
calming measures. A serpentine street alignment with clusters of diagonal parking, distinct native plant
palettes for each side of the street, artist -designed seating areas, and custom bollards at crosswalks are
some of the unique features that preserved and defined the character of the community.
City of Beverly Hills, Beverly Vista Elementary School - 2006
The need for year-round play dictated the construction of a synthetic turf field as Phase I of a two phased
design and construction project. Patty picked up the project at year three of design development, and
completed the full construction document package. The majority of the campus will receive new asphalt,
basketball courts, a rubberized fitness area, trees and planter areas, and new fencing. Patty coordinated
the phasing of the project with civil engineers to ensure grading and drainage issues were resolved.
City of Rancho Cucamonga, Arbor Lane Streetscape - 2007
The Village of Victoria Arbors was envisioned as a multi -faceted community with a regional commercial
center, surrounding residential neighborhoods, school, park, and community center tied together by a
comprehensive trail and open space system. Arbor Lane was conceived as a pedestrian -oriented
residential boulevard that would link the proposed school and adjacent park to both the regional and
local commercial areas. The wide central median was designed to accommodate street fairs and other
community -oriented events, and a raised gazebo will provide a focal point for social gatherings and
performances. Patty managed staff to complete the construction document package.
City of La Habra, La Bonita Park Improvement Project - 2006
To meet the increased demand for active recreation facilities, the City has undergone an extensive
renovation of La Bonita Park. Phase 2 of the improvement project includes four lighted softball fields with
a multi -use field overlay, a new restroom building with concession stand and storage space, and increased
parking. In addition to the recreation improvements, an extensive storm water retention infrastructure
was developed to accommodate the capital storm. Patty managed the final construction document
package, and contractor's RFC's and RFI's for the firm.
City of Pasadena, Arroyo Seco Master Plan
As the premier open space in the City of Pasadena, the Arroyo Seco was been linked with the cultural and
historic identity of the City since its inception. Previous to working for Withers and Sandgren, as senior
designer for Takata Associates, Patty applied her research, conceptual design, editorial, and graphic
design skills on the three components of the Arroyo Seco Master Plan: the Hahamongna Watershed
Master Plan, the Central Arroyo Master Plan, and the Lower Arroyo Master Plan. These three Master Plans,
covering the physical landscape of the Arroyo Seco within the City of Pasadena, balance the need for
environmental and cultural preservation with resource management and active recreation.

CITY OF WEST COVINA
PROFESSIONAL SERVICES AGREEMENT
WITH
TRANSTECH ENGINEERS, INC.
FOR
BUILDING AND SAFETY SERVICES
THIS AGREEMENT is made and entered into this 1st day of December, 2020, by and
between the CITY OF WEST COVINA, a municipal corporation ("City"), and TRANSTECH
ENGINEERS, INC., a California corporation ("Consultant").
WITNESSETH:
A. WHEREAS, City proposes to utilize the services of Consultant as an independent
contractor to City to provide Building and Safety Services, as more fully described herein; and
B. WHEREAS, Consultant represents that it has that degree of expertise
contemplated within California Government Code Section 37103, and holds all necessary
licenses to practice and perform the services herein contemplated, except that if Consultant is
required to but does not yet hold a City business license, it will promptly obtain a business license
and will not provide services to the City until it has done so; and
C. WHEREAS, City and Consultant desire to contract for the specific services
described in Exhibit "A" and desire to set forth their rights, duties and liabilities in connection with
the services to be performed; and
D. WHEREAS, no official or employee of City has a financial interest, within the
provisions of Sections 1090-1092 of the California Government Code, in the subject matter of this
Agreement.
E. WHEREAS, Consultant responded to the City's Request for Proposals dated
October 21, 2020 (RFP #71-014), incorporated via this reference as if fully set forth herein, and
Consultant's response to the Request for Proposals was a material inducement to the City
ultimately entering into this Agreement.
NOW, THEREFORE, for and in consideration of the mutual covenants and conditions
contained herein, the parties hereby agree as follows:
1.0. SERVICES PROVIDED BY CONSULTANT
1.1. Scope of Services. Consultant shall provide the professional services described
in the Consultant's Proposal attached hereto as Exhibit "A," incorporated herein by this reference.
1.2. Professional Practices. All professional services to be provided by Consultant
pursuant to this Agreement shall be provided by personnel experienced in their respective fields
and in a manner consistent with the standards of care, diligence and skill ordinarily exercised by
professional consultants in similar fields and circumstances in accordance with sound
professional practices. Consultant also represents that it is familiar with all laws that may affect
its performance of this Agreement and shall advise City of any changes in any laws that may
affect Consultant's performance of this Agreement. Consultant shall keep itself informed of State

and Federal laws and regulations which in any manner affect those employed by it or in any way
affect the performance of its service pursuant to this Agreement. The Consultant shall at all times
observe and comply with all such laws and regulations. City officers and employees shall not be
liable at law or in equity for any claims or damages occurring as a result of failure of the Consultant
to comply with this section.
1.3. Performance to Satisfaction of City. Consultant agrees to perform all the work to
the reasonable satisfaction of the City. Evaluations of the work will be conducted by the City
Manager or his or her designee. If the quality of work is not satisfactory, City in its discretion has
the right to:
(a) Meet with Consultant to review the quality of the work and resolve the
matters of concern;
(b) Require Consultant to repeat the work at no additional fee until it is
satisfactory; and/or
(c) Terminate the Agreement as hereinafter set forth.
1.4. Warranty. Consultant shall perform the services required by this Agreement in
compliance with all applicable Federal and California employment laws, including, but not limited
to, those laws related to minimum hours and wages; occupational health and safety; fair
employment and employment practices; workers' compensation; and all other Federal, State and
local laws and ordinances applicable to the services required under this Agreement.
1.5. Non-discrimination. In performing this Agreement, Consultant shall not engage in,
nor permit its agents to engage in, discrimination in employment of persons because of their race,
religion, color, national origin, ancestry, age, physical or mental disability, medical condition,
genetic information, pregnancy, marital status, sex, gender, gender identity, gender expression,
sexual orientation, or military or veteran status, except as permitted pursuant to Section 12940 of
the Government Code.
1.6. Non -Exclusive Agreement. Consultant acknowledges that City may enter into
agreements with other consultants for services similar to the services that are subject to this
Agreement or may have its own employees perform services similar to those services
contemplated by this Agreement.
1.7. Confidentiality. Employees of Consultant in the course of their duties may have
access to financial, accounting, statistical, and personnel data of private individuals and
employees of City. Consultant covenants that all data, documents, discussion, or other
information developed or received by Consultant or provided for performance of this Agreement
are deemed confidential and shall not be disclosed by Consultant without written authorization by
City. City shall grant such authorization if disclosure is required by law or reasonably necessary
for Consultant to defend itself from any legal action or claim. All City data shall be returned to City
upon the termination of this Agreement. Consultant's covenant under this Section shall survive
the termination of this Agreement. Notwithstanding the foregoing, City and Consultant agree that
Consultant may disclose confidential information to Consultant's employees and subconsultants
as reasonably necessary to perform its obligations pursuant to this Agreement.
1.8 Public Records Act Disclosure. Consultant has been advised and is aware that
this Agreement and all reports, documents, information and data, including, but not limited to,

computer tapes, discs or files furnished or prepared by Consultant, or any of its subcontractors,
pursuant to this Agreement and provided to City may be subject to public disclosure as required
by the California Public Records Act (California Government Code Section 6250 et seq.).
Exceptions to public disclosure may be those documents or information that qualify as trade
secrets, as that term is defined in California Government Code Section 6254.7, and of which
Consultant informs City of such trade secret. The City will endeavor to maintain as confidential all
information obtained by it that is designated as a trade secret. The City shall not, in any way, be
liable or responsible for the disclosure of any trade secret including, without limitation, those
records so marked if disclosure is deemed to be required by law or by order of the court.
2.0. COMPENSATION AND BILLING
2.1. Compensation. Consultant shall be paid in accordance with the fee schedule set
forth in Exhibit A (the "Fee Schedule"). Consultant's annual compensation shall not exceed Nine
Hundred Thousand Dollars ($900,000.00) annually.
2.2. Additional Services. Consultant shall not receive compensation for any services
provided outside the scope of services specified in the Consultant's Proposal unless the City,
prior to Consultant performing the additional services, approves such additional services in
writing. It is specifically understood that oral requests and/or approvals of such additional services
or additional compensation shall be barred and are unenforceable. Should the City request in
writing additional services that increase the Scope of Services, an additional fee based upon the
Consultant's standard hourly rates shall be paid to the Consultant for such additional services.
Such increase in additional fees shall be limited to 25% of the total contract sum or to the
maximum total contract amount of $25,000, whichever is greater. The Department Head or City
Manager is authorized to approve a Change Order for such additional services.
2.3. Method of Billing. Consultant may submit invoices to the City for approval on a
progress basis, but no more often than once a month. Said invoice shall be based on the total of
all Consultant's services which have been completed to City's sole satisfaction. City shall pay
Consultant's invoice within forty-five (45) days from the date City receives said invoice. Each
invoice shall describe in detail the services performed, the date of performance, and the
associated time for completion. Any additional services approved and performed pursuant to this
Agreement shall be designated as "Additional Services" and shall identify the number of the
authorized change order, where applicable, on all invoices.
2.4. Records and Audits. Records of Consultant's services relating to this Agreement
shall be maintained in accordance with generally recognized accounting principles and shall be
made available to City for inspection and/or audit at mutually convenient times from the Effective
Date until three (3) years after the termination or expiration of this Agreement.
3.0. TIME OF PERFORMANCE
3.1. Commencement and Completion of Work. Unless otherwise agreed to by the
parties, the professional services to be performed pursuant to this Agreement shall commence
within five (5) days from the Effective Date of this Agreement. Failure to commence work in a
timely manner and/or diligently pursue work to completion may be grounds for termination of this
Agreement.
3.2. Excusable Delays. Neither party shall be responsible for delays or lack of
performance resulting from acts beyond the reasonable control of the party or parties. Such acts

shall include, but not be limited to, acts of God, fire, strikes, material shortages, compliance with
laws or regulations, riots, acts of war, or any other conditions beyond the reasonable control of a
party. If a delay beyond the control of the Consultant is encountered, a time extension may be
mutually agreed upon in writing by the City and the Consultant. The Consultant shall present
documentation satisfactory to the City to substantiate any request for a time extension.
4.0. TERM AND TERMINATION
4.1. Term. The term of this Agreement shall commence on January 1, 2021 ("Effective
Date") and continue for a period of one (1) year, ending on December 31, 2021, unless previously
terminated as provided herein or as otherwise agreed to in writing by the parties. Thereafter, this
Agreement may be extended for one (1), one (1) year period. Such extension, if any, will be
evidenced by a written amendment to this Agreement.
4.2. Notice of Termination. The City reserves and has the right and privilege of
canceling, suspending or abandoning the execution of all or any part of the work contemplated
by this Agreement, with or without cause, at any time, by providing at least fifteen (15) days prior
written notice to Consultant. In the event of such termination, Consultant shall immediately stop
rendering services under this Agreement unless directed otherwise by the City. If the City
suspends, terminates or abandons a portion of this Agreement such suspension, termination or
abandonment shall not make void or invalidate the remainder of this Agreement.
If the Consultant defaults in the performance of any of the terms or conditions of this
Agreement, it shall have ten (10) days after service upon it of written notice of such default in
which to cure the default by rendering a satisfactory performance. In the event that the Consultant
fails to cure its default within such period of time, the City shall have the right, notwithstanding
any other provision of this Agreement, to terminate this Agreement without further notice and
without prejudice to any other remedy to which it may be entitled to at law, in equity, or under this
Agreement.
The City also shall have the right, notwithstanding any other provisions of this Agreement,
to terminate this Agreement, at its option and without prejudice to any other remedy to which it
may be entitled to at law, in equity, or under this Agreement, immediately upon service of written
notice of termination on the Consultant, if the latter should:
a. Be adjudged a bankrupt;
b. Become insolvent or have a receiver of its assets or property appointed
because of insolvency;
C. Make a general assignment for the benefit of creditors;
d. Default in the performance of any obligation or payment of any
indebtedness under this Agreement;
e. Suffer any judgment against it to remain unsatisfied or unbonded of record
for thirty (30) days or longer; or
f. Institute or suffer to be instituted any procedures for reorganization or
rearrangement of its affairs.

4.3. Compensation. In the event of termination, City shall pay Consultant for
reasonable costs incurred and professional services satisfactorily performed up to and including
the effective date of the City's written notice of termination, within forty-five (45) days after the
effective date of the notice of termination or the final invoice of the Consultant, whichever occurs
last. Compensation for work in progress shall be prorated based on the percentage of work
completed as of the effective date of termination in accordance with the fees set forth herein.
4.4. Documents. In the event of termination of this Agreement, all documents prepared
by Consultant in its performance of this Agreement including, but not limited to, finished or
unfinished design, development and construction documents, data studies, drawings, maps and
reports, shall be delivered to the City within ten (10) days of the effective date of the notice of
termination, at no cost to City.
5.0. INSURANCE
5.1. Minimum Scope and Limits of Insurance. Consultant shall obtain, maintain, and
keep in full force and effect during the life of this Agreement all of the following minimum scope
of insurance coverages with an insurance company authorized to do business in California, with
a current A.M. Best's rating of no less than A:VII, and approved by City:
(a) Broad -form commercial general liability, including premises -operations,
products/completed operations, broad form property damage, blanket
contractual liability, independent contractors, personal injury or bodily injury
with a policy limit of not less than Two Million Dollars ($2,000,000.00),
combined single limits, per occurrence. If such insurance contains a
general aggregate limit, it shall apply separately to this Agreement or shall
be twice the required occurrence limit.
(b) Business automobile liability for owned vehicles, hired, and non -owned
vehicles, with a policy limit of not less than One Million Dollars
($1,000,000.00), combined single limits, per accident for bodily injury and
property damage.
(c) Workers' compensation insurance as required by the State of California,
with Statutory Limits, and Employer's Liability Insurance with a limit of no
less than One Million Dollars ($1,000,000.00) per accident for bodily injury
or disease. Consultant agrees to waive, and to obtain endorsements from
its workers' compensation insurer waiving subrogation rights under its
workers' compensation insurance policy against the City, its officers,
agents, employees, and volunteers for losses arising from work performed
by Consultant for the City and to require each of its subcontractors, if any,
to do likewise under their workers' compensation insurance policies.
By execution of this Agreement, the Consultant certifies as follows:
I am aware of, and will comply with, Section 3700 of the Labor
Code, requiring every employer to be insured against liability of
Workers' Compensation or to undertake self-insurance before
commencing any of the work.

The Consultant shall also comply with Section 3800 of the Labor Code by
securing, paying for and maintaining in full force and effect for the duration
of this Agreement, complete Workers' Compensation Insurance, and shall
furnish a Certificate of Insurance to the City before execution of this
Agreement by the City. The City, its officers and employees shall not be
responsible for any claims in law or equity occasioned by failure of the
consultant to comply with this section.
(d) Professional errors and omissions ("E&O") liability insurance with policy
limits of not less than One Million Dollars ($1,000,000.00), combined single
limits, per occurrence or claim, and Two Million Dollars ($2,000,000.00)
aggregate. Architects' and engineers' coverage shall be endorsed to
include contractual liability. If the policy is written as a "claims made" policy,
the retroactivity date shall be prior to the start of the work set forth herein.
Consultant shall obtain and maintain said E&O liability insurance during the
life of this Agreement and for five (5) years after completion of the work
hereunder. If coverage is canceled or non -renewed, and not replaced with
another claims -made policy form with a retroactive date prior to the
Effective Date of this Agreement, Consultant shall purchase "extended
reporting" coverage for a minimum of five (5) years after completion of the
work.
If the Consultant maintains higher limits or has broader coverage than the minimums
shown above, the City requires and shall be entitled to all coverage, and to the higher limits
maintained by the Consultant. Any available insurance proceeds in excess of the specified
minimum limits of insurance and coverage shall be available to the City.
5.2. Endorsements. The insurance policies are to contain, or be endorsed to contain,
the following provisions:
(a) Additional Insureds: The City of West Covina and its elected and appointed
boards, officers, officials, agents, employees, and volunteers are additional
insureds with respect to: liability arising out of activities performed by or on
behalf of the Consultant pursuant to its contract with the City; products and
completed operations of the Consultant; premises owned, occupied or
used by the Consultant; automobiles owned, leased, hired, or borrowed by
the Consultant.
(b) Notice of Cancelation: Each insurance policy required above shall provide
that coverage shall not be canceled, except with notice to the City.
(c) Primary Coverage: The Consultant's insurance coverage shall be primary
insurance as respects the City of West Covina, its officers, officials, agents,
employees, and volunteers. Any other insurance maintained by the City of
West Covina shall be excess and not contributing with the insurance
provided by this policy.
(d) Waiver of Subrogation: Consultant hereby grants to City a waiver of any
right to subrogation which any insurer of said Consultant may acquire
against the City by virtue of the payment of any loss under such insurance.

affect this waiver of subrogation, but this provision applies regardless of
whether or not the City has received a waiver of subrogation endorsement
from the insurer.
(a) Coverage Not Affected: Any failure to comply with the reporting provisions
of the policies shall not affect coverage provided to the City of West Covina,
its officers, officials, agents, employees, and volunteers.
(f) Coverage Applies Separately: The Consultant's insurance shall apply
separately to each insured against whom claim is made or suit is brought,
except with respect to the limits of the insurer's liability.
5.3. Deductible or Self Insured Retention. If any of such policies provide for a
deductible or self -insured retention to provide such coverage, the amount of such deductible or
self -insured retention shall be approved in advance by City. The City may require the Consultant
to purchase coverage with a lower retention or provide proof of ability to pay losses and related
investigations, claim administration, and defense expenses within the retention. The policy
language shall provide, or be endorsed to provide, that the self -insured retention may be satisfied
by either the named insured or City.
5.4. Certificates of Insurance. Consultant shall provide to City certificates of insurance
showing the insurance coverages and required endorsements described above, in a form and
content approved by City, prior to performing any services under this Agreement. The City
reserves the right to require complete, certified copies of all required insurance policies, including
endorsements required by these specifications, at any time.
5.5. Non -limiting. Nothing in this Section shall be construed as limiting in any way the
indemnification provision contained in this Agreement.
6.0. GENERAL PROVISIONS
6.1. Entire Agreement. This Agreement constitutes the entire agreement between the
parties with respect to any matter referenced herein and supersedes any and all other prior
writings and oral negotiations. This Agreement may be modified only in writing, and signed by the
parties in interest at the time of such modification.
6.2. Representatives. The City Manager or his or her designee shall be the
representative of City for purposes of this Agreement and may issue all consents, approvals,
directives and agreements on behalf of the City, called for by this Agreement, except as otherwise
expressly provided in this Agreement.
Consultant shall designate a representative for purposes of this Agreement who
shall be authorized to issue all consents, approvals, directives and agreements on behalf of
Consultant called for by this Agreement, except as otherwise expressly provided in this
Agreement.
6.3. Key Personnel. It is the intent of both parties to this Agreement that Consultant
shall make available the professional services of Ahmed Ansari, who shall coordinate directly with
City. Any substitution of key personnel must be approved in advance in writing by City's
Representative.

6.4. Notices. Any notices, documents, correspondence or other communications
concerning this Agreement or the work hereunder may be provided by personal delivery, Email
or by U.S. mail. If by U.S. mail, it shall be addressed as set forth below and placed in a sealed
envelope, postage prepaid, and deposited in the United States Postal Service. Such
communication shall be deemed served or delivered: a) at the time of delivery if such
communication is sent by personal delivery; b) at the time of transmission if such communication
is sent by Email; and c) 72 hours after deposit in the U.S. Mail as reflected by the official U.S.
postmark if such communication is sent through regular United States mail.

6.5. Attorneys' Fees. If litigation is brought by any party in connection with this
Agreement against another party, the prevailing party shall be entitled to recover from the
opposing party all costs and expenses, including reasonable attorneys' fees, incurred by the
prevailing party in the exercise of any of its rights or remedies hereunder or the enforcement of
any of the terms, conditions, or provisions hereof.
6.6. Governing Law. This Agreement shall be governed by and construed under the
laws of the State of California without giving effect to that body of laws pertaining to conflict of
laws. In the event of any legal action to enforce or interpret this Agreement, the parties hereto
agree that the sole and exclusive venue shall be a court of competent jurisdiction located in Los
Angeles County, California.
6.7. Assignment. Consultant shall not voluntarily or by operation of law assign,
transfer, sublet or encumber all or any part of Consultant's interest in this Agreement without
City's prior written consent. Any attempted assignment, transfer, subletting or encumbrance shall
be void and shall constitute a breach of this Agreement and cause for termination of this
Agreement. Regardless of City's consent, no subletting or assignment shall release Consultant
of Consultant's obligation to perform all other obligations to be performed by Consultant
hereunder for the term of this Agreement.
6.8. Indemnification and Hold Harmless. To the fullest extent of the law, Consultant
agrees as follows:
(a) With respect to claims that are not directly related to Consultant's professional
services, Consultant agrees to defend, indemnify, hold free and harmless the City,
its elected and appointed officials, officers, agents and employees, at Consultant's
sole expense, from and against any and all claims, demands, actions, suits or other
legal proceedings brought against the City, its elected and appointed officials,
officers, agents and employees arising out of, pertaining to, or relating to the
negligence, recklessness, or willful misconduct of the Consultant, its employees,
and/or authorized subcontractors, in performing this Agreement. The defense
obligation provided for hereunder shall apply without any advance showing of

negligence, recklessness or willful misconduct of the Consultant, its employees,
and/or authorized subcontractors, but shall be required whenever any claim,
action, complaint, or suit asserts as its basis the negligence, recklessness, orwillful
misconduct of the Consultant, its employees, and/or authorized subcontractors,
and/or whenever any claim, action, complaint or suit asserts liability against the
City, its elected and appointed officials, officers, agents and employees based
upon such negligence, recklessness, or willful misconduct, whether or not the
Consultant, its employees, and/or authorized subcontractors are specifically
named or otherwise asserted to be liable. Notwithstanding the foregoing, the
Consultant shall not be liable for the defense or indemnification of the City for
claims, actions, complaints or suits arising out of the sole active negligence or
willful misconduct of the City.
(b) With respect to claims directly related to Consultant's professional services,
Consultant shall indemnify and hold the City, its elected and appointed officials,
officers, agents and employees harmless from any damage, liability or cost
(including reasonable attorneys' fees and costs of defense) to the extent they are
caused by Consultant's, its employees', and/or authorized subcontractors'
negligence, recklessness or willful misconduct. Consultant shall not have an
upfront duty to defend the City, its elected and appointed officials, officers, agents
and employees under this paragraph, but shall promptly reimburse reasonable
defense fees and costs to the extent a claim is caused by the negligence,
recklessness or willful misconduct of Consultant, or as the parties otherwise agree
in settlement. In no event shall the cost to defend charged to Consultant under this
paragraph exceed the Consultant's proportionate percentage of fault.
(c) This provision shall supersede and replace all other indemnity provisions
contained either in the City's specifications or Consultant's Proposal, which shall
be of no force and effect.
6.9. Independent Contractor. Consultant is and shall be acting at all times as an
independent contractor and not as an employee of City. Consultant shall have no power to incur
any debt, obligation, or liability on behalf of City or otherwise act on behalf of City as an agent.
Neither City nor any of its agents shall have control over the conduct of Consultant or any of
Consultant's employees, except as set forth in this Agreement. Consultant shall not, at any time,
or in any manner, represent that it or any of its or employees are in any manner agents or
employees of City. Consultant shall secure, at its sole expense, and be responsible for any and
all payment of Income Tax, Social Security, State Disability Insurance Compensation,
Unemployment Compensation, and other payroll deductions for Consultant and its officers,
agents, and employees, and all business licenses, if any are required, in connection with the
services to be performed hereunder. Consultant shall indemnify and hold City harmless from any
and all taxes, assessments, penalties, and interest asserted against City by reason of the
independent contractor relationship created by this Agreement. Consultant further agrees to
indemnify and hold City harmless from any failure of Consultant to comply with the applicable
worker's compensation laws. City shall have the right to offset against the amount of any fees due
to Consultant under this Agreement any amount due to City from Consultant as a result of
Consultant's failure to promptly pay to City any reimbursement or indemnification arising under
this paragraph.
6.10. PERS Eligibility Indemnification. In the event that Consultant or any employee,
agent, or subcontractor of Consultant providing services under this Agreement claims or is

determined by a court of competent jurisdiction or the California Public Employees Retirement
System (PERS) to be eligible for enrollment in PERS as an employee of the City, Consultant shall
indemnify, defend, and hold harmless City for the payment of any employee and/or employer
contributions for PERS benefits on behalf of Consultant or its employees, agents, or
subcontractors, as well as for the payment of any penalties and interest on such contributions,
which would otherwise be the responsibility of City.
Notwithstanding any other agency, state or federal policy, rule, regulation, law or
ordinance to the contrary, Consultant and any of its employees, agents, and subcontractors
providing service under this Agreement shall not qualify for or become entitled to, and hereby
agree to waive any claims to, any compensation, benefit, or any incident of employment by City,
including but not limited to eligibility to enroll in PERS as an employee of City and entitlement to
any contribution to be paid by City for employer contribution and/or employee contributions for
PERS benefits.
6.11. Cooperation. In the event any claim or action is brought against City relating to
Consultant's performance or services rendered under this Agreement, Consultant shall render
any reasonable assistance and cooperation which City might require.
6.12. Ownership of Documents. All findings, reports, documents, information and data
including, but not limited to, computer tapes or discs, files and tapes furnished or prepared by
Consultant or any of its subcontractors in the course of performance of this Agreement, shall be
and remain the sole property of City. Consultant agrees that any such documents or information
shall not be made available to any individual or organization without the prior consent of City. Any
use of such documents for other projects not contemplated by this Agreement, and any use of
incomplete documents, shall be at the sole risk of City and without liability or legal exposure to
Consultant. City shall indemnify and hold harmless Consultant from all claims, damages, losses,
and expenses, including attorneys' fees, arising out of or resulting from City's use of such
documents for other projects not contemplated by this Agreement or use of incomplete documents
furnished by Consultant. Consultant shall deliver to City any findings, reports, documents,
information, data, in any form, including but not limited to, computer tapes, discs, files audio tapes
or any other related items as requested by City or its authorized representative, at no additional
cost to the City. Consultant or Consultant's agents shall execute such documents as may be
necessary from time to time to confirm City's ownership of the copyright in such documents.
6.13. Electronic Safeguards. Consultant shall identify reasonably foreseeable internal
and external risks to the privacy and security of personal information that could result in the
unauthorized disclosure, misuse, alteration, destruction or other compromise of the information.
Contractor shall regularly assess the sufficiency of any safeguards and information security
awareness training in place to control reasonably foreseeable internal and external risks, and
evaluate and adjust those safeguards in light of the assessment.
6,14. Economic Interest Statement. Consultant hereby acknowledges that pursuant to
Government Code Section 87300 and the Conflict of Interest Code adopted by City, Consultant
is designated in said Conflict of Interest Code and is therefore required to file an Economic Interest
Statement (Form 700) with the City Clerk, for each employee providing advice under this
Agreement, prior to the commencement of work, unless waived by the City Manager.
6.15. Conflict of Interest. Consultant and its officers, employees, associates and
subconsultants, if any, will comply with all conflict of interest statutes of the State of California
applicable to Consultant's services under this agreement, including, but not limited to, the Political

Reform Act of 1974 (Government Code Section 81000, et seq.) and Government Code Sections
1090-1092. Consultant covenants that none of Consultant's officers or principals have any interest
in, or shall acquire any interest, directly or indirectly, which will conflict in any manner or degree
with the performance of the services hereunder, including in any manner in violation of the Political
Reform Act. Consultant further covenants that in the performance of this Agreement, no person
having such interest shall be used by Consultant as an officer, employee, agent, or subconsultant.
Consultant further covenants that Consultant has not contracted with nor is performing any
services, directly or indirectly, with any developer(s) and/or property owner(s) and/or firm(s)
and/or partnership(s) owning property in the City and further covenants and agrees that
Consultant and/or its subconsultants shall provide no service or enter into any agreement or
agreements with a/any developer(s) and/or property owner(s) and/or firm(s) and/or partnership(s)
owning property in the City prior to the completion of the work under this Agreement.
6.16. Prohibited Employment. Consultant will not employ any regular employee of City
while this Agreement is in effect.
6.17. Order of Precedence. In the event of an inconsistency in this Agreement and any
of the attached Exhibits, the terms set forth in this Agreement shall prevail. If, and to the extent
this Agreement incorporates by reference any provision of any document, such provision shall be
deemed a part of this Agreement. Nevertheless, if there is any conflict among the terms and
conditions of this Agreement and those of any such provision or provisions so incorporated by
reference, this Agreement shall govern over the document referenced.
6.18. Costs. Each party shall bear its own costs and fees incurred in the preparation
and negotiation of this Agreement and in the performance of its obligations hereunder except as
expressly provided herein.
6.19, No Third Party Beneficiary Riahts. This Agreement is entered into for the sole
benefit of City and Consultant and no other parties are intended to be direct or incidental
beneficiaries of this Agreement and no third party shall have any right in, under or to this
Agreement.
6.20. Headings. Paragraphs and subparagraph headings contained in this Agreement
are included solely for convenience and are not intended to modify, explain or to be a full or
accurate description of the content thereof and shall not in any way affect the meaning or
interpretation of this Agreement.
6.21. Amendments. Only a writing executed by the parties hereto or their respective
successors and assigns may amend this Agreement.
6.22. Waiver. The delay or failure of either party at any time to require performance or
compliance by the other of any of its obligations or agreements shall in no way be deemed a
waiver of those rights to require such performance or compliance. No waiver of any provision of
this Agreement shall be effective unless in writing and signed by a duly authorized representative
of the party against whom enforcement of a waiver is sought. The waiver of any right or remedy
in respect to any occurrence or event shall not be deemed a waiver of any right or remedy in
respect to any other occurrence or event, nor shall any waiver constitute a continuing waiver.
6.23. Severability. If any provision of this Agreement is determined by a court of
competent jurisdiction to be unenforceable in any circumstance, such determination shall not
affect the validity or enforceability of the remaining terms and provisions hereof or of the offending

provision in any other circumstance. Notwithstanding the foregoing, if the value of this Agreement,
based upon the substantial benefit of the bargain for any party, is materially impaired, which
determination made by the presiding court or arbitrator of competent jurisdiction shall be binding,
then both parties agree to substitute such provision(s) through good faith negotiations.
6.24. Counterparts and Electronic Signatures. This Agreement may be executed in one
or more counterparts, each of which shall be deemed an original. All counterparts shall be
construed together and shall constitute one agreement. Counterpart written signatures may be
transmitted by facsimile, email or other electronic means and have the same legal effect as if they
were original signatures.
6.25. Corporate Authority. The persons executing this Agreement on behalf of the
parties hereto warrant that they are duly authorized to execute this Agreement on behalf of said
parties and that by doing so the parties hereto are formally bound to the provisions of this
Agreement.
6.26 Taxaaver Identification Number. Consultant shall provide City with a complete
Request for Taxpayer Identification Number and Certification, Form W9, as issued by the Internal
Revenue Service.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed
by and through their respective authorized officers, as of the date first above written.

Adapting Our Services to Our Current Client Cities
In addition to the above items, below are highlights of our response to our current client Cities and how we are adapting
and customizing our services as a result of the COVID-19 Pandemic.
✓ Transtech has long Implemented all necessary and vital electronic tools, software and remote workflows to provide its
services. Having such tools and software deployed, Transtech has been able to provide essential services with no service
disruption to its client Cities during COVID-19.
✓ All Transtech personnel have work laptops and smartphones. Transtech's virtual workstations and cloud servers allow
all Transtech personnel to work remotely virtually anywhere.
✓ Transtech utilizes Microsoft Teams virtual video/audio meeting system, and conducts client meetings virtually with all
stakeholders.
✓ Transtech retains all work files electronically on its cloud servers, providing real -time access to all project stakeholders.
Ease of access to Information provided by Transtech minimizes face to face meetings during COVID-19.
✓ Transtech utilizes electronic/online bid management systems providing electronic bid/proposal submittal options,
which eliminates or minimizes City walk-ins. Transtech has helped some of our client Cities transition to fully electronic
bid/proposal submittals during City Hall closures.
✓ Transtech has implemented electronic/online permit Issuance portal at no additional cost to its various client City's
Building & Safety and Public Works Departments.
✓ Transtech has been Instrumental in adopting electronic plan check workflows by using Its own electronic plan check
system to its various client City's Building & Safety and Public Works Departments at no additional cost. Transtech team
has prepared and successfully implemented custom plan check portals for their client Cities and has delivered electronic
plan checks throughout City Hall closures during COVID-19.
✓ During electronic permit and plan check system implementations to its client Cities, Transtech staff worked closely with
City Finance and IT Departments to implement electronic/online payment workflows, and provided training to City Staff
to eliminate any service disruption.
✓ Above tools and services have been implemented at no additional cost to our client Cities. This service will also be
extended to new cities at no additional cost.
✓ Virtual Inspections have been implemented on a case by case basis for occupied buildings and home inspections by our
Building and Safety Department.

reduces the overall time our staff is required to spend on that particular plan.

complicated details, reduce construction costs, and/or provide details which are easy to verify in the field.
• Transtech performs necessary liaisons with City, and the permit applicant or applicant's designee either by telephone, mail,
or meeting at our plan check office, or at City office, and perform necessary rechecks to achieve compliance with applicable
building laws, ordinances, and regulations.

Service Transition: Transtech has completed several similar service transitions, and will be able to minimize any

Experience in Los Angeles County and Local Area: Transtech has extensive experience in the local area. Our

Following paragraphs describe our understanding of City's requirements and expectations.
The City of West Covina is requesting proposals from qualified consultants to provide
Contract Building and Safety Services. Currently these services are provided by a Consultant (Willdan
Associates).
Established in 1989, Transtech Engineers, Inc. is a qualified firm providing contract
municipal services to many agencies, including serving as Building and Safety
Service Provider to several agencies. Also, Transtech is currently serving as the
City's Contract City Engineer.
Transtech is providing services to approximately 55 Agencies. Following are few of the nearby agencies where

The City of West Covina is committed to providing the most efficient and timely
customer service possible to meet the needs of the community.
The selected firm will be expected to provide excellent front-line customer services to the City's patrons, responding
quickly and effectively to the walk-in, telephone, and electronic inquiries from the public related to Building and Safety
services. The selected firm will be expected to work closely with all City departments and divisions and ensure that
the appropriate requirements of those departments and divisions are incorporated in the Building and Safety
Division's operating standards and processes.

plans which have all the required information clearly and logically presented.
• Additionally, we never hesitate to make suggestions which help eliminate complicated details, reduce
construction costs, and/or provide details which are easy to verify in the field. Experience has taught us well
that inspection time and applicant frustration can both be substantially reduced, while increasing overall
compliance, by producing a better set of plans during plan review process. And in the case of homeowners,
this policy often demonstrates early on that the City really is here to help.
• To help the applicant better understand the problem, Transtech provides as much information during plan
review as possible. This policy reduces the number of plan review rechecks required, allows the applicant to
obtain a permit much sooner, and reduces the overall time our staff is required to spend on that particular
plan.
Our policy is to assist the architect, engineer, designer, applicant, etc. as much as possible, which helps
eliminate complicated details, reduce construction costs, and/or provide details which are easy to verify in
the field.
• Transtech performs necessary liaisons with City, and the permit applicant or applicant's designee either by
telephone, mail, or meeting at our plan check office, or at City office, and perform necessary rechecks to
achieve compliance with applicable building laws, ordinances, and regulations.
e All telephone calls or a -mails received are returned within same working day, or the following day. We take
pride in our "Same Day Response" motto.
Responsiveness is an integral part of Transtech's "customer friendly" service approach.
We will strive to enhance the City's image by public trust to be the most a desirable community to live, invest
and conduct business.
Coronavirus (COVID-19) - Impacts to City of West Covina Operations:
The City of West Covina Is monitoring the evolving situation regarding the Coronavirus
(COVID-19). The City is closely following the guidance of the Los Angeles County
Department of Public Health (Public Health) and the Centers for Disease Control and
Prevention (CDC) to respond to recent reports of a novel (new) coronavirus.
Transtech's Virtual Communication Approach due to Covid-19 Impacts:
At Transtech, the safety and well-being of Transtech Team Members and our client Cities is always our priority,
and we recognize the important role we play TRANSTECH'S VIRTUAL CAPABILITIES
in providing services to our client Cities during AVAILABLE FOR THE CITY

to our management team. This in effect Is our own activated Emergency Operations Center (EOC) to effectively
deal with the ongoing developments as they may arise — please feel free to email us with any information, 24-7.
In addition to the above items, below are highlights of our response to our current client Cities and how we are
adapting and customizing our services as a result of the COVID-19 Pandemic.
1. Transtech has long implemented all necessary and vital electronic tools, software and remote workflows
to provide its services. Having such tools and software deployed, Transtech has been able to provide
essential services with no service disruption to its client Cities during COVID-19.
2. All Transtech personnel have work laptops and smartphones. Transtech's virtual workstations and cloud
servers allow all Transtech personnel to work remotely virtually anywhere.
3. Transtech utilizes Microsoft Teams virtual video/audio meeting system, and conducts client meetings
virtually with all stakeholders.
4. Transtech retains all work files electronically on its cloud servers, providing real -time access to all project
stakeholders. Ease of access to information provided by Transtech minimizes face to face meetings during
COVID-19.
5. Transtech utilizes electronic/online bid management systems providing electronic bid/proposal submittal
options, which eliminates or minimizes City walk-ins. Transtech has helped some of our client Cities
transition to fully electronic bid/proposal submittals during City Hall closures.
6. Transtech has implemented electronic/online permit issuance portal at no additional cost to its various
client City's Building & Safety and Public Works Departments.
7. Transtech has been instrumental in adopting electronic plan check workflows by using its own electronic
plan check system to its various client City's Building & Safety and Public Works Departments at no
additional cost. Transtech team has prepared and successfully implemented custom plan check portals
for their client Cities and has delivered electronic plan checks throughout City Hall closures during COVID-
19.
8. During electronic permit and plan check system implementations to its client Cities, Transtech staff
worked closelywith City Finance and IT Departments to implement electronic/online payment workflows,
and provided training to City Staff to eliminate any service disruption.
9. Above tools and services have been Implemented at no additional cost to our client Cities. This service
will also be extended to new cities at no additional cost.
10. Virtual Inspections have been implemented on a case by case basis for occupied buildings and home
inspections by our Building and Safety Department.
11. Building inspections continue for non -occupied structures.
12. We have set up designated toll -free numbers with assigned operators and email distribution lists for
continuity of virtual government services.
Transtech Engineers, Inc. was highlighted in the recently published APWA Southern California Chapter's Insight
Magazine detailing our development of virtual solutions for municipal agencies during the "new normal". We worked
with our client cities to transform "in -person" services to a fully integrated virtual stop during the recent closures of
City Halls. We are excited to share that the transition has been a success across the many departments and divisions
we serve in Public Works, Community Development, Planning, Building & Safety, and Engineering.

Building and Safety Services is provided under Community Development Department,
Building Division:
The City has recently gone through several reorganizations between departments to ensure the City provides the most
efficient services. As a result, the City has consolidated several departments to form the Community Development
Department (CDD). The CDD is dedicated to providing high quality services to the residents, businesses, and property
owners of West Covina.. The CDD is organized into the following four divisions:
• Building Division: The Building Division enforces safety, health, welfare and property maintenance standards for both public
and private development and provides construction management oversight for public construction. The building division
oversees both Building; plan check, permit issuance, and inspections as well as Building Construction; administers construction
of public facilities.
• Code Enforcement Division: The Code Enforcement Division is responsible for improving the community by educating
residents and businesses about the importance of good property maintenance. Code Enforcement manages complaints
through the Go -REQUEST mobile app and the online Report an Issue.
• Community and Economic Development Division: Comprised of Economic Development, Housing, and the West Covina
Successor Agency, the Community and Economic Development (CED) Division is dedicated to enhancing the economic base of
the City through the elimination of blight, the revitalization of the existing properties, the attraction and retention of
businesses, and providing affordable housing options for its residents.
• Engineering Division: The Engineering Division is responsible for the construction and maintenance of street improvements
including traffic signals, plan review and inspections, design and construction of capital improvements, review of traffic related

3.1
A. SCOPE OF SERVICES
Following paragraph's include City's requested Scope of Services and our approach in providing the requested
services in an efficient, cost effective manner with Transtech's Quality, Responsive, Customer -friendly
Service.
Services requested by the City:
A. General Responsibilities
Under the direction of the Community Development Director, the selected firm would assume the responsibility for
the operation of the Building and Safety Division and would provide the range of expertise necessary to carry out the
normal and day-to-day activities and functions of the Division. This includes, but not limited to providing professional
services in all the following areas: Building Official services, development review of new projects, counter assistance,
plan checking, building code compliance, and "on -call" inspection services. It is the City's intent to select one (1) firm
to provide the requested services.
B. Building Official Services
The selected firm shall provide a highly qualified individual to serve as the City's Building Official. The Building Official
shall oversee plan checking, building and grading inspections, building code compliance, and acts as an official City
representative on building related matters. Service will include but are not limited to the following:
1. Quality control review of plan checks and inspections
2. Building Code updates and adoption
3. Resolution of inquiries and complaints
4. Building Official Administration, processing of complex Building Code issues and dispute resolution
5. Maintain and update the Building and Safety counter brochures and "hand-outs"
6. Monthly reporting of Building and Safety activities and annual reporting
7. Participate in pre -development review and provide comments
8. Attendance of pre -development review meetings
9. Processing of City Council staff reports (as needed)
10. Attendance at Planning Commission and City Council meetings (as needed)
The ideal proposal would include an International Code Council (ICQ Certified Building Official who is available to be
at the City part-time (10 hours minimum) and as needed, has at least 5 years of Building Official experience, is
customer -service oriented, and has experience with managing multiple tasks, assignments and responsibilities. The
Building Official shall also be available on an as needed basis for questions and quality control of work during the time
he/she is not at City Hall.
C. Inspection Services
The selected firm shall provide a Building Inspector, acceptable to the Community Development Director, on an as
needed/on-call basis to provide Building and Safety Services. Specific responsibilities Include but are not limited to the
following:
1. Inspection services (residential, commercial, and other nonresidential projects) for building code, accessibility,
grading, building, electrical, mechanical, plumbing, etc.

assignments and responsibilities.
D. Building Permit Technician Services
The selected firm shall provide a Building Permit Technician, acceptable to the Community Development Director,
on an as needed/on-call basis to provide Building and Safety Services. Specific responsibilities include but are not
limited to the following:
1. Reviews permit applications, calculate fees in accordance to established fee schedule, receive permit
application/plans for plan check processing, and Issue permits
2. Handle project inquiries and resolve complaints
3. Maintain records and files concerning construction permits and building code administration (including
documents for storage and/or imaging)
The ideal proposal would include a Building Permit Technician who has at least 2 years of permit issuance experience
in a municipal government department and responsible clerical experience requiring the application of policies and
procedures.
The Transtech Team has extensive experience using the same permitting software system as the City of West Covina,
which is Permits Plus. Currently the Transtech Team uses Permits Plus in several client agencies and has extensive
experience and knowledge with all Accela Platforms. The Transtech Team's in-house plan check software, a -Plan Soft,
also seamlessly integrates with Permits Plus which streamlines the plan check process. Our staff is well trained in these
software systems and platforms.
E. Plan Check Services
The selected firm shall provide qualified plan check professionals on as needed basis. The selected firm shall provide
such personnel based on the volume of work and the City's expected plan check turn -around times as described in
Section E below.
1. Plan checking includes American with Disabilities Act (ADA) accessibility, grading, erosion control, building,
mechanical, electrical, plumbing work, and Fire, etc.
2. Plan check monitoring, permit issuance for grading, building electrical, mechanical, plumbing, and fire etc.
3. Handle project inquiries and resolve complaints
The ideal proposal would include an International Code Council (ICC) Certified California Building Plans Examiner with
at least 5 years of plan check experience, committed to providing the most efficient, accurate and timely plan check
services possible to meet the needs of the City, has previous City experiences, is customer- service oriented, and has
experiences with successfully managing multiple tasks, assignments, and responsibilities. The plan checker may
substitute for a portion of the required time the Building Official is available at City Hall.

Project Staff Organization Approach: We re -envisioned our service and staffing
approach.
Our project staffing and organization chart is structured to provide the City responsive, efficient, and cost-effective
service while complying with the safety requirements of Covid 19.
Our staffing structure and organization is re -envisioned for the greatest responsiveness in a conveniently and easily
accessible manner to City, residents, development community and public. While we will have a Building Official or a
Plan Checker will be on -site for limited hours for over the counter service, their virtual presence and accessibility to
City will be full-time bases. Public will be able to schedule a meeting by clicking on any available date and times on our
virtual Building Official, Plan Checker Calendar (which will be posted on City's web site) for an on-line face-to-face
virtual meeting.
We worked with our client cities to transform "in -person" services to a fully integrated virtual meetings during the
recent closures of City Halls due to Covid 19. We are excited to share that the transition has been a success across
the many departments and divisions we serve in Building & Safety, Engineering, Public Works, Community
Development, and Planning.

Our immediate approach is for our Directors of Building & Safety Operations and Principal Building Officials (Dennis
Tarango, CBO and Ayla Jefferson, CBO) to initially spend time at the City to evaluate the City's current Building and
Safety operations to set up a system and service approach that fits the City's needs to provide responsive and efficient
services in a customer -friendly manner. After this initial assessment and evaluation, a continued process will be
implemented for day to day operations under the direction and supervision of our Directors of Building & Safety
Operations and Principal Building Officials. Building and Safety staff will continue to report to our Principal Building
Officials. Also, Dennis or Ayla will continue to attend meetings with the City, be conscious of our service status, and
continue to provide principal level oversight, support, and guidance. They will attend meetings with City Management
and City Council to provide reports and make presentations on issues related to our services and answer questions.
Our key staff members are well known in the industry and served at various cities as Building Officials, Inspectors, Plan
Checkers and Permit Technicians.
In addition, our team also includes experienced staff for specialty services, such as Fire Plan Check and Soils Report
Review.

of experience in design, supervision, and technical management of major projects in structural and geotechnical
fields. He has been involved in major projects such as transportation/transit, power plants, cooling towers, silos,
bridges, and medium to high-rise multi story structures. The breadth of his experience includes geotechnical
analysis, field and laboratory testing management, slope stability and liquefaction analysis, seismic hazard
evaluation, pile and earth retaining structures design, design and monitoring of soil improvement solutions,
design and implementation of repair and retrofit methods relevant to soils, foundation and structural behavior
for different types of structures. In the last 15 years, he has actively practiced geotechnical engineering and
consulting in southern California. He has been the Geotechnical Engineer of Record for numerous educational,
transportation, pavement study and rehabilitation, multi -story building, road, bridge, and parking structure
projects. Dr. Ariannia has completed several value engineering for pavement and foundation projects, resulted

construction costs, and/or provide details which are easy to verify in the field. Experience has taught us well
that inspection time and applicant frustration can both be substantially reduced, while increasing overall
compliance, by producing a better set of plans during plan review process. And In the case of homeowners, this
policy often demonstrates early on that the City really is here to help.
• Transtech provides all plan check comments on electronic files. All plan check comments are provided on scanned
pdf format electronically, as well as hard copies. Plan review corrections are written clearly and are fully detailed

• To help the applicant better understand the problem, Transtech provides as much information during plan review
as possible. We believe that if the applicant has a clear understanding of the problem, he or she can take the

particular plan. Unclear and/or cryptic corrections are never written, and all correction lists, except those written

offices to answer questions or for rechecks where the plan corrections.

Emergency Response:
In the event of a local or regional emergency or disaster, our staff will be accessible, available, and prepared to provide
Building and Safety services as directed by the City.
Other Services:
As indicated in City's RFP, the City may also require additional services including, Capital Improvement Project (CIP)
project management, code enforcement services, etc. Transtech will provide such services when requested by the
City.
Initial Service Analysis:
If selected by the City, within approximately 3 months of the approval of the contract, Transtech will complete a
thorough review of existing City policies, ordinances, and conditions pertaining to relevant services, and perform an
operational, service and quality assessment and efficiency review. Based on this review, we will provide any
recommendations we may have for any improvements in service quality, efficiency, and effectiveness. Upon approval
of a final recommendations, we will develop an implementation process and timetable and present a report to the
City for review and consideration.
Performance Standards and Monitoring:
Transtech will also develop and provide to the City monitoring information that shows achievement of the
performance standards, and that personnel are providing helpful and courteous service to customers. The monitoring
may include, but is not limited to, customer feedback through written questionnaires, Interviews, and observations at
the building counter and during building permit Inspections and monthly statistical reports.
Training Program:
We offer any City staff, who are involved in Inspection, plan check and permit issuance, an option to participate In our
training program for code updates and process, as well as ICC certification training.
Job Opportunity for Local Residents:
If the City selects Transtech, we will seek applicants from local residents for employment possibilities at our firm and
offer training for various administrative and technical support positions.
Timely and Accurate Invoicing-
Transtech is on electronic staff time tracking and timecard system. Employees are required to enter their timecards
on daily basis electronically. The timecards are reviewed at the end the week by employees' direct supervisors, and
then approved by Project Managers. Invoices are generated from the timecards, with backup timecards provided with
the invoices.
Service Transition:
Transtech has completed several similar service transitions and will be able to minimize any inconveniences. We do
not see a need for an extensive overlapping work period with the current consultant. our staff has done similar
transitions before and can handle any open issues left from the current consultant. The "overlapping work period"
would only increase the City's cost on staff time. Our expectation is to review the project files and address status of
current/open plan checks, projects, and priority issues for transition.

WITNESSETH:
A. WHEREAS, City proposes to utilize the services of Consultant as an independent

services to the City until it has done so; and

NOW, THEREFORE, for and in consideration of the mutual covenants and conditions contained

1.0. SERVICES PROVIDED BY CONSULTANT
1.1. Scope of Services. Consultant shall provide the professional services for the Azusa Sewer
Lift Station Upgrades as described in the Scope of Services attached hereto as Exhibit "A," incorporated
herein by this reference.
1.2 Professional Practices. All professional services to be provided by Consultant pursuant
to this Agreement shall be provided by personnel experienced in their respective fields and in a manner
consistent with the standards of care, diligence and skill ordinarily exercised by professional consultants weenie

1.3. Performance to Satisfaction of City. Consultant agrees to perform all the work to the
reasonable satisfaction of the City. Evaluations of the work will be conducted by the City Manager or his
or her designee. If the quality of work Is not satisfactory, City In its discretion has the right to:
(a) Meet with Consultant to review the quality of the work and resolve the matters of
concern;
(b) Require Consultant to repeal the work at no additional fee until it is satisfactory;

(c) Terminate the Agreement as hereinafter set forth.

(b) Primary Coverage: For any claims related to this contract, the Lessee'siinsurance
coverage shall be primary coverage at least as broad as ISO CG 20 01 04 13 as
respects the City, its officers, officials, employees, and volunteers. Any Insurance
or self -Insurance maintained by the City, its officers, officials, employees, or
volunteers shall be excess of the Lessee's insurance and shall not contribute with
it.
(c) Notice of Cancellation: Each Insurance policy required above shall provide that
coverage shall not be canceled, except with notice to the City.
(d) Waiver of Subrogation: Lessee hereby grants to City a waiver of any right to
subrogation which any Insurer of said Lessee may acquire against the City by
virtue of the payment of any loss under such insurance. Lessee agrees to obtain
any endorsement that may be necessary to affect this waiver of subrogation, but
this provision applies regardless of whether or not the City has received a waiver
of subrogation endorsement from the Insurer.
(a) Self -Insured Retentions: Self -insured retentions must be declared to and approved
by the City. The City may require the Lessee to purchase coverage with a lower
retention or provide proof of ability to pay losses and related investigations, claim
administration, and defense expenses within the retention. The policy language
shall provide, or be endorsed to provide, that the self -Insured retention may be
satisfied by either the named insured or City.
(0 Acceptability ofInsurers: Insurance is to be placed with insurerawith a current A.M.
Best's rating of no less than A -:VI, unless otherwise acceptable to the City,
(g) Verification of Coverage: Lessee shall furnish the City with original certificates and
amendatory endorsements or copies of file applicable policy language effecting
coverage required by this clause. All certificates and endorsements are to be
received and approved by the City before work commences. However, failure to
obtain the required documents prior to the work beginning shall not waive the
Lessee's obligation to provide them. The City reserves the right to require
complete, certified copies of all required insurance policies, Including
endorsements required by these specifications, at any time.
(h) Subcontractors: Consultant shall require and verify that all subcontractors maintain
Insurance meeting all the requirements stated herein, and Contractor shall ensure
that City Is an additional Insured on insurance required from subcontractors.
5.3. Deductible or Self Insured Retention. It any of such policies provide for a deductible or
self -insured retention to provide such coverage, the amount of such deductible or self -insured retention

any of its rights or remedies hereunder or the enforcement of any of the terms, conditions, or provisions
hereof.
8.8. Governing Law. This Agreement shall be governed by and construed under the laws of
the State of California without giving effect to that body of laws pertaining to conflict of laws. In the
event of any legal action to enforce or Interpret this Agreement, the parties hereto agree that the sole
and exclusive venue shall be a court of competent jurisdiction located in Los Angeles County,
California.
6.7. Assignment. Consultant shall not voluntarily or by operation of law assign, transfer,
sublet or encumber all or any pan of Consultant's Interest In this Agreement without City's prior written
consent. Any attempted assignment, transfer, subletting or encumbrance shall be void and shall
constitute a breach of this Agreement and cause for termination of this Agreement. Regardless of City's
consent, no subletting or assignment shall release Consultant of Consultant's obligation to perform all
other obligations to be performed by Consultant hereunder for the term of this Agreement.

employees, except as set forth in this Agreement. Consultant shall not, at any time, or in any manner,
represent that it or any of its or employees are in any manner agents or employees of City. Consultant
shall secure, at its sole expense, and be responsible for any and all payment of Income Tax, Social
Security, State Disabillty Insurance Compensation, Unemployment Compensation. and other payroll
deductions for Consultant and its officers, agents, and employees, and all business licenses, if any are
required, in connection with the services to be performed hereunder. Consultant shall indemnify and
hold City harmless from any and all taxes, assessments, penalties, and interest asserted against City
by reason of the independent contractor relationship created by this Agreement. Consultant further
agrees to Indemnify and hold City harmless from any failure of Consultant to comply with the applicable
worker's compensation laws. City shall have the right to offset against the amount of any fees due to
Consultant under this Agreement any amount due to City from Consultant as a result of Consultant's
failure to promptly pay to City any reimbursement or Indemnification arising under this paragraph.
