SUBJECT: CONSIDERATION OF AMENDMENT NO. 1 WITH THE COUNTY OF LOS ANGELES
FOR USE OF SPACE TO PROVIDE COVID-19 TESTING.
RECOMMENDATION:
It is recommended that the City Council receive and file Amendment No. 1 with the County of Los Angeles to
continue to provide space at Cortez Park Community & Senior Center for COVID-19 testing.
BACKGROUND:
On January 23, 2021, the City entered into an agreement with Los Angeles County to allow the County to use City
property for COVID-19 related support and related activities, including testing. On August 11, 2021, the City and
the County entered into an Amended and Restated Agreement, which extended the term through December 31,
2021. This amendment extends the Agreement terms through June 30, 2022.
DISCUSSION:
The Los Angeles County Department of Health has continued to provide information stating transmission of the
COVID-19 virus remains high, and is currently requiring that all persons wear face masks on public transit, in
transportation hubs, indoors in K-12 schools, childcare and other youth settings, health care settings, correctional
facilities and detention centers, homeless shelters, emergency shelters and cooling centers, indoor public and
business settings, and outdoor mega events, regardless of vaccination status. With the Omicron variant, there is a
need to provide basic services including testing services to the residents and patrons of West Covina.
This amendment will extend the term of the Agreement through June 30, 2022. The County will continue to be
responsible for providing oversight of testing operations, providing a County point of contact person, and
providing biohazard trash removal. The City will be responsible for the following: provide venue and site access,
provide for trash pick-up, provide electrical power, and provide access to bathroom facilities to testing staff.
LEGAL REVIEW:
The City Attorney's Office reviewed and approved the amendment as to form.
OPTIONS:
It is recommended that the City Council receive and file the attached Amendment.

AMENDED AND RESTATED
SPACE USE AGREEMENT
A&R AMENDMENT No. 1
This Amendment Number One (hereinafter "A&R Amendment No. 1") to the Amended and Restated
Space Use Agreement (hereinafter "A&R Agreement") is made and entered into on thisday of 23rd
December, 2021 by and between the County of Los Angeles ("County"), a political subdivision of the
State of California, on behalf of its Department of Health Services (hereinafter "Department"), and the
City of West Covina (hereinafter "Grantor"), a municipal corporation organized under the laws of the
State of California.
RECITALS
WHEREAS, Grantor is a rightful possessor or occupant with a right to transfer use of certain space,
premises or other space (hereinafter "Space "); and
WHEREAS, on March 4, 2020, County's Board of Supervisors declared a Local and Public Health
Emergency (hereinafter "Emergency") following the introduction of the Coronavirus Disease 2019
(hereinafter "COVID-19") cases in Los Angeles County; and
WHEREAS, following such declaration of the Emergency, County has launched COVID-19 testing
efforts and currently operates and/or supports testing and vaccinations at various locations throughout
Los Angeles County for the preservation of public health and safety; and
'%YHEREAS, on January 23, 2021 (hereinafter "Original Agreement Date"), the parties hereto entered
into that certain gratis Agreement No. H-708962 for Use of City Space (hereinafter, together with all
amendments thereto, "Original Agreement") for County's access to and use of the Space for operating
and/or supporting COVID-19 related activities, including testing, for a term until and through June 30,
2021 (the Original Agreement, as amended by the A&R Agreement, shall hereinafter be referred to as
"Agreement"); and
WHEREAS, on August 11, 2021, the parties entered into the A&R Agreement, which restated the
Original Agreement and extended its term through December 31, 2021; and
WHEREAS, the parties now intend to extend the tern of the Agreement until and through June 30, 2022
for continued use of the Space pursuant to its terms and conditions and to memorialize any other
changes as may be set forth herein; and
WHEREAS, the Agreement provides that such changes may be made by mutual written consent of the
authorized representatives of both parties.
NOW, THEREFORE, in consideration of the foregoing Recitals, the agreement of the parties as set forth
herein and in consideration of the terms and conditions specified herein, the parties agree as follows:
1. This A&R Amendment No. 1 shall be effective upon execution.
2. The Agreement is hereby incorporated by reference, and all of its terms and conditions,
including capitalized terms defined herein, shall be given full force and effect as if fully set
forth herein.
3. To extend the term of the Agreement; Section 2.1 (Term) of the Agreement under the A&R
Agreement is deleted in its entirety and replaced with revised Section 2 (Term) to readas
follows:
"2.1 TERAZ
The term of this Agreement shall commence upon the Original Agreement Date (as
defined above) and shall continue in full force and effect until and through June 30, 2022
(`'Expiration Date"), unless sooner terminated as provided herein below or extended upon
mutual agreement of the parties."
4. The Agreement is modified to add Engagement Order No. 3 to account for the extended terns
added under this A&R Amendment No. 1, which is attached hereto as Exhibit A and
incorporated herein and into the A&R Agreement by reference.
5. Except as otherwise specifically amended herein in this A & R Amendment No. 1, all
other terms and conditions of the Agreement shall remain unchanged and in Rill force and
effect.
