Chung City Manager BY: Chris Freeland Deputy City Manager/Community Services Director AGENDA ITEM NO. 5 DATE January 21, 2014 SUBJECT: FIRST AMENDMENT TO LEASE AND OPTION AGREEMENT WITH NEW CINGULAR WIRELESS/AT&T FOR THE EXISTING WIRELESS FACILITY AT SHADOW OAK PARK RECOMMENDATION: It is recommended that the City Council approve the First Amendment to the Lease and Option Agreement between New Cingular Wireless/AT&T and the City of West Covina for the existing wireless facility at Shadow Oak Park. DISCUSSION: In 2005, New Cingular Wireless (AT&T) was granted a Conditional Use Permit (CUP) and a lease agreement for the construction of a cell tower at Shadow Oak Park. On November 18, 2013, AT&T submitted a request to the City of West Covina to add three (3) additional antennas to their existing cell tower at Shadow Oak Park. AT&T owns one of the two cell towers currently located at Shadow Oak Park. Crown Castle owns the other cell tower. AT&T is proposing to add antennas and improve the current technology to increase service area, signal quality, and capacity on its cell tower, especially with the significant use of cell phones, e- readers, laptops, etc. that run on wireless systems. The new technology is also supposed to provide better call coverage as they move from one cell tower to another. Under the current agreement, AT&T is allowed to remove and replace existing equipment within the leased space as part of the original agreement, subject to a building permit and a Planning Director's modification. However, there is language in the current agreement that any increase in the number of antennas, leased space, or material alteration to the exterior appearance of the structure requires the City's approval and is subject to renegotiation of the contract's terms. As AT&T is increasing the number of antennas from six to nine, even without changing the leased area, the City believes this is a change to the original agreement and subject to renegotiating. After a couple months of negotiations, AT&T has agreed to a $500/month. increase from $2,700/month to $3,200/month. The rent increase will become effective when AT&T pulls their building permit to construct the improvements or 180 days from the execution of the First Amendment to the Option and Lease Agreement (Attachment No. 1), whichever occurs first. Existing Lease Terms (2005): • Rent: In 2005, rent for 256 square feet of space was established at $2,200 per month with an annual increase of 3%. Current rent is $2,700. • Term: Lease of five years with the option of five additional five year extensions for a total of up to 30 years (2035). AT&T is currently in the first additional five year extension, which expires in 2015. In 2005, the City of West Covina established the market rate for the lease space at $8.59 a square foot per month ($2,200/256 square feet). The 2013 market value of the lease is $10.55 a square foot per month ($2,700/256 square feet). Under the terms of the First Amendment the new market value of the lease will increase to $12.50 a square foot per month ($3,200/256 square feet). All terms of the current agreement are to remain in place, other than the establishment of a new base rate of $3,200/month in rent ($500 per month increase), with the same annual 3% escalator. City staff is recommending approval for the proposed terms due to the following reasons: 1. Accepting these new terms will make this the highest paid rent on a cell tower in West Covina. Current rents in the community vary between $2,218 per month and $2,700 per month. 2. This will establish a new baseline for future cell tower improvements or new installations in West Covina. 3. Increasing the rent generates a larger financial asset for the City. o Cell Towers on City property generate approximately of $275,000 in General Fund revenues in West Covina per year plus business license fees. 4. The cell tower already exists and the additional antennas will be camouflaged to the existing standards. Per Planning, this tower is one of the better camouflaged towers in the community. Attachment No. 2 are the proposed plans for the new structure and Attachment No. 3 is a photograph of the existing cell tower. If the First Amendment is approved, AT&T will also need to obtain a building permit and Planning Director's modification. FISCAL IMPACT: There is no cost to the City for the installation of the three antennas and associated equipment. All costs are the responsibility of AT&T. The proposed lease amendment, with 3% escalator, will generate a new monthly rent of $3,200 per month rent, with $38,400 in General Fund revenues in the first year, cumulative total of $77,952 over the next two years. If the agreement remains in place through 2035, the cell tower is will generate, a cumulative total of $1,246,191, or an increase of $194,718 from the current agreement. WHEREAS, City and Tenant entered into an Option and Lease Agreement for the lease of real property dated May 17, 2005 (the "Agreement"), in which the Tenant agreed to lease from the City the real property municipally known as 2121 E. Shadow Oak Drive, West Covina, CA 91792 (the "Property"), and with the Cell Site Number: LA0247, for the purpose of maintaining a cell tower, reference to which agreement is hereby made for the terms and conditions thereof; WHEREAS, said Agreement commenced on December 9, 2005, with an initial lease term of five (5) years, and with five (5) automatically renewing five (5) year terms; WHEREAS, the Parties have agreed to amend the Agreement to allow for the installation of additional antennas, associated cables and other communications instruments; and WHEREAS, absent any new, additional or conflicting terms in this First Amendment, the terms and conditions of the Agreement remain in full force and effect and are incorporated by reference herein. NOW, THEREFORE, in consideration of in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, City and Tenant do hereby agree as follows: 1. COMPLETE AGREEMENT, PRECEDENCE OF DOCUMENTS This First Amendment, the Agreement, and the attached forms and documents (Contract Documents) referred to here and therein and incorporated herein by reference, constitute the complete and exclusive agreement between the City and the Tenant and supersede all prior representations, understandings, and communications. The invalidity in whole or in part of any provision of this First Amendment shall not affect the validity of other provisions. The City's failure to insist in any instance upon the performance of any term or terms of this First Amendment shall not be construed as a waiver or relinquishment of the City's right to such performance by the Tenant. Except as otherwise allowed hereunder, any amendment shall be in writing and signed by both parties. Any conflict, omission or difference in the Contract Documents shall be subject to the following order of precedence of Contract Documents: A. This First Amendment B. The Agreement 2. RENT Beginning on (i) the date issuance of building permit or (ii) 180 days from the Effective Date of this First Amendment, whichever occurs first, Tenant agrees to increase the Rent by Five Hundred Dollars ($500.00) for a total of Three Thousand Two Hundred Dollars ($3,200) per month. If Rent payments begin on a day other than the first day of the calendar month, Tenant may prorate Rent for the remainder of the calendar month for which Rent commences, and thereafter, Tenant shall pay a full month's Rent on the first day of each calendar month, except that payment shall be prorated for the final fractional month of this Agreement. Rent shall increase with the same amount and frequency terms as described in Section 6(b) of the Agreement (3% ar lual increase) due annually every December 9. Tenant shall continue to be responsible for utility costs as described in Section 6(c) of the Agreement. 3. DESIGN Tenant wishes to modify and/or improve the design of its existing communication facility located on the Property. Tenant shall provide the designs and drawings for City approval prior to commencing construction on the structure. Tenant's acquisition of a building permit for this purpose shall not satisfy the requirement of this First Amendment for the City's approval prior to commencing construction. • • 4. NOTICES.
