Your confusion undoubtedly stems from, your continuing inappropriate' contacts with councilmembers coupled with continuing misstatements and character' attacks on Mr. Marticorena. Charter has filed an FCC Form 394' (the "Application") requesting the City Council's consent to a transfer of control (the "Transfer") of the entity granted a cable television franchise by the City (the "Franchisee") to the Transferee or entities associated therewith. On December 1, 1998, the City Council disapproved without prejudice the Transfer as set forth in the Application for the reasons set forth in a Resolution adopted on that date (the "Denial Resolution")-. On December 15, 1998, the City Council authorized and directed the City Manager and the City Attorney to take whatever actions are necessary, including without limitation the initiation of litigation, to prevent an unauthorized and material breach of the Franchise through a closing of the transaction set forth in the Application in violation of the Franchise itself and the Denial Resolution. San Antonio College Summary. This report provides a brief summary of the financial ,support provided by Charter Communications for the operation of WCCT-TV, channel 56 on our CATV system. Background. WCCT-TV Mt. San Antonio College (Mt. Sac) is operated under a triparte agreement between the City, Mt. Sac, and Charter Communications. The initial agreement dated July 1987 delineated the responsibilities of each participant with respect to the operation of WCCT-TV. In terms of funding support, it required the City to contribute $50,000 per year (plus a 1 time payment of another $50,000 the first year), and Charter (then Choice) to pay $36,000 per annum. Over the years the Agreement has been amended several times and the contribution levels changed. The most recent change occurred in September 1995 with the final resolution of the transfer of ownership of the CATV Franchise from Crown Cable to Charter. Included in the terms of that Settlement Agreement, was a guarantee of support for WCCT from FY1995-96 through the life of the franchise. The budget for WCCT, as provided in the Agreement, includes activities undertaken by the City (e.g. maintaining the position of Commuity Television Producer) as well as activities undertaken by Mt. Sac "(e.g. studio related expenses). Attached is a 12/13/95 memo from then Assist. City Mgr. Steve Wylie outlining the schedule of payments required by Charter to satisfy this requirement. You'll note that the Fiscal Year total for `96-97 is $154,690, and for `97-98 is $157,474. Charter's current year's payment of $55,966 represents only '/z year since..the Franchise Agreement itself expires on February 1. . In preparation for negotiating a franchise renewal, Mt Sac has submitted a draft budget for the 5 year period 1998-2003. It totals $460,519 and when added to the City's current budget for WCCT expenses of $75,000 per annum (increased 3% per yr for the next 5 yrs), the total annual funding requirement for WCCT-TV for the next 5 years is $858,719, extended for 10 yrs is $1,867,544. The total amount then is consistent with what we are getting now and will simply allow a continuation of existing operations. Page 2,of 2 to Communications Director memo of 12/7/98 As, a point of information, the $1.6 mil one time payment requested in the preliminary draft agreement which was forwarded to Charter by Bill Marticorena on November 12, is essentially this $1.8 mil discounted to its present value. (Incidentally Bill's letter of transmittal with that document clearly stated that neither city staff nor the City Council 'had seen it.) The basis for the one time payment is that it would be more palatable to Charter for us to ask for the $ as a one-time payment rather than dragging it out over the life of the renewal. DISCUSSION Several cities, including some served by cable companies other than Charter, were contacted by telephone and the information obtained is listed on Attachment (1). Unfortunately the cognizant personnel at a few other cities are on vacation through the holidays and no information can be obtained until they return. While the information obtained is somewhat limited and is based on staffs' understanding of the individual franchise agreements, it is readily apparent that the level of PEG usage varies widely from city to city, and further that Charter's support also varies. (West Covina seems to have more programming than most other cities; for a more. detailed itemization of WCCT-TV programming, see attachment (2).) The data also suggests that Charter's overall support to West Covina with almost 15,000 subscribersjs not all that much more than what it provides to Azusa and Walnut; and secondly, that our total dollar expenditure for PEG access is not all that different from what other cities are spending. The primary differences between West Covina and Azusa and Walnut are that in our case Charter provides its support in dollars (both the City's and Mt. Sac's costs), thereby providing us total control of the operation, whereas Azusa receives personnel in kind services and Walnut uses its General Fund monies. Staff will continue its attempts to contact the cities which have not yet responded to our request for information. RECOMMENDATION It is recommended that the City Council receive and file this report.
